PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THIS WEBSITE OR ANY SERVICES OFFERED BY THÉOS FINANCIAL INC. BY ACCESSING OR USING OUR WEBSITE, CREATING AN ACCOUNT, SUBMITTING A LOAN APPLICATION, OR OTHERWISE ENGAGING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. 1. About Theos Financial
Theos Financial Inc ("Theos Financial," "Company," "we," "us," or "our") is a California-licensed mortgage brokerage. Our NMLS ID is 2685114. We are licensed by the California Department of Real Estate (DRE) under license number 02253229. We act as a mortgage broker, not a lender. We do not make loans, we arrange loans between borrowers and third-party lenders.
In all mortgage transactions, Theos Financial acts solely as a broker. The final decision to approve or deny a loan application rests with the lender to whom the application is submitted. We do not guarantee loan approval, specific interest rates, or particular loan terms.
2. Eligibility
To use our website and services, you must:
- Be at least 18 years of age.
- Be a legal resident of the United States.
- Have the legal capacity to enter into binding agreements.
- Provide truthful, accurate, and complete information in all forms and communications.
If you create an account or submit a loan application on behalf of another person (such as a co-borrower), you represent that you have legal authority to do so and that the other person consents to these Terms.
3. Account Registration and Security
When you create an account on our loan application portal, you agree to:
- Provide accurate and complete registration information, including your legal name, email address, and phone number.
- Maintain the security and confidentiality of your account credentials (password).
- Notify us immediately of any unauthorized use of your account.
- Accept responsibility for all activity that occurs under your account.
We use AES-256 encryption at rest and TLS encryption in transit to protect your data. You are responsible for maintaining adequate security on your end, including keeping your devices and login credentials secure.
We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised on, are being used fraudulently, or are in violation of these Terms.
4. Loan Application Process
4.1 Application Submission
When you submit a mortgage loan application through our website, you authorize Theos Financial to:
- Collect, verify, and process your personal, financial, and employment information.
- Share your information with prospective lenders, appraisers, title companies, credit agencies, and other service providers as necessary to process your application.
- Obtain your consumer credit report from one or more consumer reporting agencies, subject to your separate written authorization under the Fair Credit Reporting Act (FCRA).
4.2 Accuracy of Information
You represent and warrant that all information you provide in connection with your loan application is true, accurate, complete, and current. Providing false, misleading, or incomplete information may constitute federal mortgage fraud under 18 U.S.C. &Sect; 1014, punishable by up to 30 years in prison and fines of up to $1,000,000.
4.3 No Guarantee
Submission of a loan application does not guarantee approval. We do not guarantee any specific interest rate, loan terms, loan amount, or closing date. Rate quotes, pre-qualifications, and pre-approvals are subject to verification, underwriting, and lender approval and may change at any time prior to loan closing.
4.4 Third-Party Lenders
Theos Financial submits your application to one or more third-party lenders. The lender makes the final credit decision. We are not responsible for any lender's decision to approve, deny, or condition a loan application.
4.5 Fees and Costs
Loan fees, closing costs, and charges associated with your mortgage transaction will be disclosed to you on the Loan Estimate and Closing Disclosure as required by the TILA-RESPA Integrated Disclosure (TRID) rule. Our broker's compensation will be disclosed as required by applicable law. You are responsible for all fees and costs associated with your loan as disclosed in these documents.
5. Electronic Consent (E-SIGN Act)
5.1 Consent to Electronic Delivery
By providing electronic consent through our application portal, you agree to receive all legally required disclosures, notices, and communications electronically in accordance with the federal Electronic Signatures in Global and National Commerce Act (ESIGN Act, 15 U.S.C. &Sect; 7001 et seq.). This includes but is not limited to the Loan Estimate, Closing Disclosure, adverse action notices, privacy notices, and other disclosures required by federal and California law.
5.2 Hardware and Software Requirements
To access electronic records, you need: a device with internet access, a current web browser (Chrome, Safari, Firefox, or Edge), an active email address, and the ability to download and view PDF documents. It is your responsibility to maintain adequate hardware and software.
5.3 Withdrawal of Consent
You may withdraw your electronic consent at any time by contacting your loan officer or emailing us at broker@theosfinancial.com. After withdrawal, we will provide disclosures by U.S. Mail. Withdrawal does not affect the legal validity of any electronic records or signatures previously provided. Withdrawal may delay processing of your application.
5.4 Electronic Signatures
When you type your name as an electronic signature, it has the same legal force and effect as a handwritten signature. We record the date, time, IP address, browser user agent, and session identifier of each electronic signature as required by the ESIGN Act.
6. SMS / Text Messaging Terms
6.1 Program
Theos Financial operates a text-messaging program called "Theos Financial Loan Application Updates." By opting in to our SMS program, you agree to the following terms.
6.2 Types of Messages
You may receive account verification and security codes, loan application status updates, document requests and reminders, loan condition and closing notices, appointment confirmations, and responses to customer-service inquiries. If you have separately opted in to marketing messages, you may also receive rate alerts, new-product announcements, and promotional offers.
6.3 Message Frequency
Message frequency varies. Transactional messages are sent as needed. Marketing messages, if you have opted in, are sent no more than ten (10) times per month.
6.4 Message and Data Rates
Message and data rates may apply. Check with your mobile carrier for details on the cost of text messages. Theos Financial is not responsible for any charges you incur from your wireless carrier.
6.5 Opt-In
You may opt in by checking the SMS consent checkbox on our website, by texting START, YES, or SUBSCRIBE to our messaging number, or by providing verbal or written consent to one of our licensed loan officers. Consent to marketing messages is separate and optional. Consent to receive marketing messages is not a condition of applying for, receiving, or being approved for any loan or service.
6.6 Opt-Out (STOP)
You can cancel the SMS service at any time by replying STOP to any message. After you send STOP, we will send one confirmation message and stop all further messages unless you opt in again. You may also opt out by contacting us using the information in Section 21.
6.7 Help (HELP)
For assistance, reply HELP to any message or contact us using the information in Section 21.
6.8 Supported Carriers
Compatible with most major U.S. Wireless carriers including AT&T, Verizon Wireless, T-Mobile, Sprint, US Cellular, Boost Mobile, Cricket, MetroPCS, and Virgin Mobile. Carriers are not liable for delayed or undelivered messages.
6.9 Privacy and Data Sharing
No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. All categories of information described in our Privacy Policy exclude text messaging originator opt-in data and consent, this information will not be shared with any third parties. Phone numbers and opt-in data collected for the SMS program are not sold, rented, shared, or otherwise transferred to any third party for marketing, promotional, or advertising purposes, including to subsidiaries, affiliates, data brokers, or resellers. SMS opt-in data may be shared only with service providers that help us operate our messaging program (such as our SMS platform provider and the wireless carriers who route the messages), and only to the extent necessary to deliver the messages you have requested.
6.10 Eligibility
You must be at least 18 years of age and a legal resident of the United States to participate. By opting in, you represent that you are the subscriber or customary user of the mobile phone number you provide and have authority to consent to receive messages at that number.
7. Disclosures and Compliance
7.1 TRID (TILA-RESPA Integrated Disclosure)
We provide the Loan Estimate within three (3) business days of receiving your completed loan application and the Closing Disclosure at least three (3) business days before loan closing, as required by 12 C.F.R. Part 1026.
7.2 Adverse Action Notices
If your loan application is denied or approved on terms materially less favorable than those originally offered, you will receive an adverse action notice within 30 days as required by the Equal Credit Opportunity Act (ECOA) and Regulation B (12 C.F.R. Part 1002). The notice will state the specific reasons for the action or advise you of your right to request the reasons.
7.3 Privacy Notices
We deliver our GLBA privacy notice at application and annually for the duration of any customer relationship, as required by the Gramm-Leach-Bliley Act. For full details, see our Privacy Policy.
7.4 HMDA
We collect demographic information (race, ethnicity, sex) as required by the Home Mortgage Disclosure Act (HMDA) and Regulation C (12 C.F.R. Part 1003). Providing this information is voluntary, refusal will not affect your application.
7.5 Anti-Steering
We provide anti-steering disclosures as required by 12 C.F.R. &Sect; 1026.36(e), presenting you with loan options from a significant number of the lenders with which we regularly do business that includes the loan with the lowest interest rate, the lowest points and origination fees, and the lowest overall cost.
7.6 California Disclosures
For loans secured by California real property, we provide the Mortgage Loan Disclosure Statement (RE 882/883) and other disclosures required by the California Financing Law and/or the California Real Estate Law, as applicable to our licensing.
7.7 Fair Lending
Theos Financial is an equal housing lender. We comply with the Fair Housing Act, ECOA, and the California Fair Employment and Housing Act. We do not discriminate based on race, color, religion, national origin, sex, familial status, disability, marital status, ancestry, source of income, sexual orientation, gender identity, or any other characteristic protected by federal, state, or local law.
8. Credit Reports and Credit Authorization
8.1 Authorization Required
We will not obtain your credit report without your prior written (including electronic) authorization as required by FCRA § 604.
8.2 Validity
Credit authorizations are valid for 120 days from the date signed, or until your application is withdrawn or denied, whichever occurs first.
8.3 Impact
Pulling your credit report may result in a hard inquiry, which may have a minor, temporary effect on your credit score. Multiple mortgage inquiries within a 14- to 45-day window (depending on credit scoring model) are typically treated as a single inquiry.
8.4 Disputes
If you believe any information on your credit report is inaccurate, you have the right to dispute it directly with the consumer reporting agency under FCRA § 611. We are not responsible for the accuracy of information reported by third parties to credit bureaus.
9. Intellectual Property
9.1 Ownership
All content on this website, including text, graphics, logos, images, software, user interface design, and compilations, is the property of Theos Financial Inc. Or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.
9.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our website for its intended purpose (obtaining mortgage brokerage services). You may not reproduce, modify, distribute, create derivative works from, publicly display, or exploit any content from our website without our prior written permission.
9.3 Trademarks
"Theos Financial," the Theos Financial logo, and related marks are trademarks of Theos Financial Inc. You may not use our trademarks without prior written permission.
10. User Conduct
You agree not to:
- Use our website or services for any unlawful purpose.
- Provide false, misleading, or fraudulent information in any application, form, or communication.
- Attempt to gain unauthorized access to our systems, databases, or other users' accounts.
- Interfere with or disrupt the operation of our website or servers.
- Use automated tools (bots, scrapers, crawlers) to access our website without our prior written permission.
- Upload or transmit viruses, malware, or other harmful code.
- Harass, threaten, or abuse our employees, contractors, or other users.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Violate any applicable law, regulation, or the rights of any third party.
11. Third-Party Services and Links
Our website may contain links to third-party websites or services that are not owned or controlled by Theos Financial. We are not responsible for the content, privacy practices, or terms of any third-party site. Inclusion of a link does not imply endorsement. We encourage you to review the terms and privacy policies of any third-party site before providing personal information.
12. Website Availability and Modifications
12.1 Availability
We strive to keep our website available at all times but do not guarantee uninterrupted access. We may temporarily suspend access for maintenance, updates, or due to circumstances beyond our control.
12.2 Changes
We may modify, update, or discontinue any feature of our website at any time without prior notice. We reserve the right to modify these Terms at any time. When we do, we will update the "Effective Date" above and, where material changes are made, provide additional notice. Your continued use of our website after the effective date of any changes constitutes your acceptance of the updated Terms.
13. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT: (A) OUR WEBSITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (B) ANY INFORMATION ON OUR WEBSITE IS ACCURATE, COMPLETE, OR CURRENT; OR (C) ANY RATE QUOTES, PRE-QUALIFICATIONS, OR ESTIMATES WILL BE HONORED BY ANY LENDER.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THÉOS FINANCIAL INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO: (A) YOUR USE OF OR INABILITY TO USE OUR WEBSITE OR SERVICES; (B) ANY LENDER'S DECISION TO APPROVE, DENY, OR CONDITION YOUR LOAN APPLICATION; (C) DELAYS IN LOAN PROCESSING OR CLOSING; (D) INTEREST RATE CHANGES OR MARKET FLUCTUATIONS; (E) UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA; OR (F) ANY OTHER MATTER RELATED TO OUR WEBSITE OR SERVICES.
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE TOTAL FEES YOU HAVE ACTUALLY PAID TO THÉOS FINANCIAL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
NOTHING IN THESE TERMS LIMITS OR EXCLUDES LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, OR VIOLATIONS OF CONSUMER PROTECTION STATUTES.
15. Indemnification
You agree to indemnify, defend, and hold harmless Theos Financial Inc., its officers, directors, employees, agents, and affiliates from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our website or services; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) any false, misleading, or fraudulent information you provide.
16. Dispute Resolution
16.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict-of-law principles.
16.2 Informal Resolution
Before filing any formal legal proceeding, you agree to attempt to resolve any dispute with us informally by contacting us using the information in Section 21. We will attempt to resolve the dispute within 30 days.
16.3 Venue
If informal resolution is unsuccessful, any legal action must be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction and venue of such courts.
16.4 Regulatory Complaints
Nothing in these Terms prevents you from filing a complaint with the California Department of Financial Protection and Innovation (DFPI) at dfpi.ca.gov, the Consumer Financial Protection Bureau (CFPB) at consumerfinance.gov/complaint, or the Nationwide Multistate Licensing System (NMLS). You may also contact the DFPI at 1-866-275-2677.
16.5 Waiver of Class Action
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THIS SECTION DOES NOT APPLY TO CLAIMS THAT CANNOT BE WAIVED UNDER APPLICABLE LAW.
17. Privacy
Your use of our website and services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy explains how we collect, use, disclose, and protect your personal and financial information. By using our website, you acknowledge that you have read and understood our Privacy Policy.
18. Data Retention
We retain your personal and financial information in accordance with our data retention policies and applicable legal requirements. For specific retention periods, see Section 11 of our Privacy Policy. Key retention periods include:
- Loan records and disclosures: five (5) years (TRID).
- HMDA records: three (3) years.
- ECOA / adverse action records: twenty-five (25) months.
- ATR/QM documentation: three (3) years.
- SMS consent records: for the duration of opt-in plus a reasonable period thereafter.
19. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.
20. Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly referenced herein, constitute the entire agreement between you and Theos Financial regarding your use of our website and services. These Terms supersede all prior and contemporaneous agreements, understandings, and communications, whether oral or written, regarding the subject matter herein.
